USPSA Board Released Proposed Bylaws Package for Member Feedback
The Board just announced a complete rewrite of USPSA’s bylaws, developed with Lewis Brisbois (Delaware corporate law firm). This isn’t minor tweaks - it’s a full modernization package.
What’s Included:
- Amended & Restated Bylaws (complete replacement of current bylaws)
- 4 Committee Charters: Audit, Finance, Disciplinary, Rules
- 3 Governance Policies: Conflict of Interest, Whistleblower, Records Retention
Major Changes:
- Board fixed at 8 Area Directors + 1 Director at Large
- Terms reduced from 4 years to 3 years
- Member recall process added (20% petition + majority vote removes Area Director)
- Managing Director renamed to Executive Director, now also Corporate Secretary
- 4 required standing committees with formal charters
- Election timeline shifted: petitions June 1-Sept 1 (was before May 1)
- 10% member quorum for member meetings (could be ~100 members making major decisions)
- Board can increase number of Area Directors by simple majority vote
- 6 of 9 Directors can remove an elected Area Director
Feedback Period:
- Open through November 12, 2025
